1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the photography services, studio services, website, communications, booking tools, and related offerings provided by Northlight Studio Inc. (“Northlight Studio Inc.,” “we,” “us,” or “our”).

By booking a session, paying a deposit or invoice, visiting our studio, using our website, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use or book our services.

These Terms apply to all clients, including individuals, families, businesses, organizations, event hosts, and any person who books or participates in a session.

2. Scope of Services

Northlight Studio Inc. provides professional photography services, including but not limited to:

• Portrait photography
• Family photo sessions
• Corporate headshots
• Brand and product photography
• Engagement photography
• Event photography
• Passport and visa photos

Service details, duration, deliverables, pricing, turnaround times, and any special requirements may vary by package, quote, or written agreement. Any written quote, invoice, booking confirmation, or service agreement may supplement these Terms, provided that if there is a conflict, the more specific written agreement will control to the extent permitted by law.

We reserve the right to refuse service, modify a session, or request the removal of any person from the premises if necessary for safety, legal compliance, or professional conduct.

3. User Obligations and Responsibilities

By using our services, you agree to:

• Provide accurate, current, and complete information when booking or communicating with us.
• Arrive on time for scheduled sessions. Late arrival may reduce session time or result in rescheduling at our discretion.
• Ensure that all participants are prepared and available as required for the session.
• Comply with studio rules, safety instructions, and all reasonable directions from our staff.
• Obtain any necessary permissions, consents, releases, or approvals required for the session, including from minors, guardians, employers, event venues, or third parties.
• Be responsible for the conduct of your guests, assistants, minors, and other attendees.
• Not bring prohibited items, hazardous materials, or anything that may damage equipment, property, or compromise safety.
• Respect the rights of others and refrain from abusive, discriminatory, harassing, disruptive, or unlawful behaviour.

You are responsible for reviewing all session details, including location, timing, wardrobe guidance, background preferences, and any passport or visa photo requirements before the session. For passport and visa photos, it is your responsibility to confirm the exact specifications required by the relevant authority before the appointment.

We may decline to provide, or may discontinue, services if you fail to meet your obligations under these Terms.

4. Payment Terms and Conditions

Unless otherwise stated in a written quote or invoice, the following payment terms apply:

• A deposit or full prepayment may be required to confirm a booking.
• All prices are listed in Canadian dollars (CAD) unless otherwise indicated.
• Taxes, including applicable GST/HST, may be added where required by law.
• Payment is due by the date specified on the invoice or booking confirmation.
• We may suspend services, withhold deliverables, or cancel a booking for non-payment.

Accepted payment methods may include debit, credit card, e-transfer, bank transfer, or other methods we approve. Any processing fees charged by payment providers may be passed on to you where permitted by law.

If your session involves additional work beyond the agreed scope, including extended shooting time, extra retouching, travel, location fees, rush delivery, special equipment, or reprints, you agree to pay the additional charges at our then-current rates or as otherwise quoted.

Once final edited images or deliverables have been released, payment obligations remain due in full and are not subject to chargeback or unilateral deduction except as required by applicable law.

5. Cancellation and Refund Policy

We understand that schedules change. The following cancellation and refund policy applies unless a separate written agreement states otherwise:

• Cancellations must be made by contacting us directly using the contact information provided below.
• Deposits may be non-refundable, to the fullest extent permitted by law, because they reserve your session time and cover administrative and preparation costs.
• If you cancel with sufficient notice, we may, at our discretion, allow you to reschedule once without additional charge, subject to availability.
• Late cancellations, no-shows, or failures to appear may forfeit any deposit paid and may be charged the full session fee where permitted by law.
• If we must cancel due to illness, emergency, unsafe conditions, equipment failure, or other reasonable causes, we will make commercially reasonable efforts to reschedule or issue a refund of amounts paid for undelivered services, as appropriate.

Refunds, if approved, will be processed to the original payment method within a reasonable time. Completed services, delivered digital files, printed products, and customized work are generally non-refundable except where required by law.

For event photography and other time-sensitive services, cancellation terms may be more restrictive due to advanced planning and lost opportunity costs, as set out in a written quote or booking confirmation.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, Northlight Studio Inc. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, or loss of data, arising out of or related to the use of our services.

Without limiting the foregoing, we are not responsible for:

• Delays caused by weather, traffic, venue restrictions, client lateness, or third-party acts or omissions;
• Missed shots, image selections, or outcomes resulting from client instructions, participant non-cooperation, or uncontrollable events;
• Temporary or permanent unavailability of files due to technical issues beyond our reasonable control, provided we take reasonable steps to maintain backups where applicable;
• Damage, loss, or theft of personal property brought to the studio or session location, except to the extent caused by our gross negligence or wilful misconduct;
• Rejection of passport or visa photos by government authorities or other institutions if the client did not provide the correct specifications or if standards change after delivery.

Our total liability for any claim arising out of or relating to the services shall be limited, to the extent permitted by law, to the amount you paid to Northlight Studio Inc. for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, or any non-excludable statutory rights.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all photographs, previews, edits, contact sheets, proofs, digital files, and other creative works produced by Northlight Studio Inc. remain our intellectual property and are protected under Canadian copyright law and other applicable laws.

Upon full payment, we grant you a non-exclusive, non-transferable, personal licence to use the delivered images for the purposes specified in your booking or reasonably associated with personal, internal business, promotional, or editorial use, as applicable to the service purchased, subject to any restrictions stated in a written agreement.

You may not, without our prior written consent:

• Sell, sublicense, or transfer the images to third parties;
• Remove copyright notices, watermarks, or metadata where applicable;
• Use the images in a misleading, defamatory, illegal, or defamatory manner;
• Modify the images in a way that misrepresents our work or harms our reputation, where such use is unlawful or expressly prohibited by agreement.

We may retain the right to use images for portfolio, website, social media, advertising, studio samples, awards, publications, or promotional purposes, unless you have expressly requested in writing prior to the session that no promotional use be made and we have agreed to that request. Any such request may be subject to additional fees or limitations where permitted by law.

You are responsible for ensuring that any content, logos, trademarks, props, or branded materials you provide do not infringe third-party rights.

8. Data Protection and Privacy

We collect, use, disclose, and retain personal information in connection with bookings, communications, payments, service delivery, image editing, customer support, and marketing, in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy laws.

Personal information may include your name, contact information, billing details, photographs, session preferences, and any other information you provide to us. We use this information only for legitimate business purposes, including:

• Managing bookings and providing services;
• Processing payments and issuing invoices or receipts;
• Delivering edited photos and related products;
• Responding to inquiries and support requests;
• Meeting legal, accounting, tax, or regulatory obligations;
• Sending updates or promotional communications where permitted by law and consent.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no system is completely secure, and we cannot guarantee absolute security.

Where third-party service providers assist us with hosting, storage, payment processing, communications, or delivery, your information may be shared with them only as necessary for those services and subject to reasonable confidentiality and security measures.

By using our services, you acknowledge that photographs may contain personal information and that image processing, storage, and delivery may involve digital platforms or cloud services. 9. Force Majeure

Northlight Studio Inc. will not be liable for any delay, failure, or interruption in performing its obligations where such delay or failure is caused by events beyond our reasonable control, including but not limited to natural disasters, severe weather, fire, flood, power outages, labour disputes, government restrictions, public health emergencies, acts of war, terrorism, civil unrest, transportation disruptions, or internet/service outages.

In the event of force majeure, we may reschedule the session, modify delivery timelines, or cancel affected services without liability except for any refund obligations expressly required by law or agreed in writing.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, legal requirements, business practices, or operational needs. The revised Terms will be effective upon posting on our website or upon notice to you, whichever occurs first, unless a later effective date is stated.

Your continued use of our services after any changes become effective constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, your sole remedy is to stop using our services and refrain from making future bookings.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, the services, or any booking with Northlight Studio Inc. shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute, claim, or proceeding arising from or relating to these Terms or our services, unless applicable law requires otherwise.

13. Severability Clause

If any provision of these Terms is found by a court or other competent authority to be invalid, illegal, unenforceable, or contrary to applicable law, that provision shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No failure or delay by Northlight Studio Inc. in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.
